Proofpoint to buy Varonis for $6.3 billion in all-cash data and AI security deal
Thoma Bravo-owned Proofpoint has agreed to buy Varonis for about $6.3 billion in cash, or $49.75 per share. The deal is expected to close in the first half of 2027, pending Varonis shareholder and regulatory approvals.
